Terms and Conditions

§ 1 Scope

(1) These General Terms and Conditions (T&C) apply to all contracts between ThermoVolt Systems (hereinafter "Contractor") and its clients for work services, consulting and related deliveries.

(2) Deviating or conflicting terms of the client are not recognised unless the Contractor has expressly agreed in writing to their validity.

§ 2 Offer and conclusion of contract

(1) The Contractor's offers are non-binding unless expressly marked as binding. The contract is concluded by written order confirmation or by commencement of execution.

(2) The written order confirmation together with these T&C is decisive for the scope of services.

§ 3 Performance of services

(1) The Contractor performs its services with the care of a prudent businessman in accordance with recognised technical rules.

(2) Deadlines are only binding if expressly agreed in writing. Delays due to force majeure, weather or material shortages extend the performance period appropriately.

§ 4 Remuneration and payment

(1) Agreed prices, unless otherwise stated, are exclusive of statutory VAT (if applicable, cf. §19 UStG).

(2) Invoices are due for payment within 14 days of receipt without deduction. Statutory default interest applies in case of late payment.

§ 5 Client cooperation obligations

The client provides the prerequisites necessary for execution in a timely and free manner, in particular access to the construction site, electricity/water connection, space for machines and all information necessary for performance.

§ 6 Acceptance and warranty

(1) After completion of the work, a joint acceptance takes place; at the client's request an acceptance protocol is drawn up.

(2) Statutory warranty periods apply; for structures the limitation period is 5 years (§634a(1) no. 2 BGB), for other works 2 years from acceptance.

§ 7 Liability

The Contractor is liable without limitation for intent and gross negligence as well as for the breach of essential contractual obligations (cardinal obligations) in case of simple negligence, limited to typical foreseeable damage. Otherwise liability for slight negligence is excluded to the extent legally permissible.

§ 8 Final provisions

(1) German law applies, excluding UN sales law.

(2) Place of performance and jurisdiction for all disputes from the contractual relationship is – to the extent legally permissible – the seat of the Contractor.

(3) If individual provisions of these T&C are invalid, the validity of the remaining provisions remains unaffected.
